Terms and conditions

These terms apply to all uses and purchases of I.M.C. GmbH Token CAROU.

The company I.M.C. GmbH c/o CarRoulette will conduct a sale of cryptographic tokens, which may include one or more private sale components and one or more public sale components, as further described in this document.
The cryptographic tokens to be generated and sold are based on the ERC20 token standard defined by the Ethereum Foundation and will be called “Caroletti Token”. These tokens are referred to here as [CAROU].

I.M.C. GmbH c/o CarRoulette is a German limited liability company, registered with the District Court of Berlin-Charlottenburg under commercial register number HRB 275840 B, located at Schloßstraße 97, 12163 Berlin, and operating under German law.

In accordance with German and European regulations, the CAROU token is a cryptographic utility token that can be used on the Ethereum blockchain and is intended to enable long-term access to the functions of the CarRoulette platform.

The CAROU token is not a security and not a financial instrument within the meaning of the Markets in Financial Instruments Directive (MiFID II) of the European Parliament (2014/65/EU) or under Article L211-1 ff. of the French Monetary and Financial Code.

CAROU tokens do not represent any guarantee and do not include any right to vote, manage, or participate in the profits of a company. CAROU tokens do not represent ownership of a physical asset and are non-refundable.

The CAROU tokens are intended to have future use exclusively as a utility token for the CarRoulette platform.

I.M.C. GmbH c/o CarRoulette does not expect that the purchase of CAROU tokens will generate financial returns. You should not purchase CAROU for speculative purposes.

Participation in the CAROU token sale must not create expectations of services, dividends, capital gains, financial returns, or any other earnings, payments, or income of any kind.

The purchase of CAROU tokens carries significant risk, which may result in the total loss of value or utility of the CAROU tokens. There is no guarantee that the objectives will be achieved or that the CAROU tokens will retain any value within the CarRoulette.com ecosystem.

The information contained in these terms does not constitute a recommendation and should not be understood as advice regarding participation in the sale of I.M.C. GmbH tokens. They also do not necessarily identify all risk factors associated with the sale of CAROU tokens.

Participants must make their own independent evaluation after conducting the research they consider necessary regarding interest in participating in the sale of CAROU tokens.

Participants should consult their accountants, legal and tax advisors to evaluate the economic, legal, and tax consequences of purchasing a CAROU token.
Participants must also review the regulations in their country of origin, residence, or domicile regarding participation in the CAROU token sale, including but not limited to:
(1) the public sale of cryptographic tokens;
(2) acquisition, custody, trading, or sale of crypto tokens.

The company does not offer the sale of CAROU tokens in jurisdictions and does not solicit participation from persons where such offering or solicitation would be unlawful.

These terms are based on the currently applicable law and practice in Europe and are subject to change.
In case of a dispute between the company and a participant (or buyer), such dispute will be resolved in accordance with the arbitration provision explained below.

These terms are effective as of the date indicated above. The stated conditions may already be invalid. I.M.C. GmbH c/o CarRoulette does not guarantee the update of the information contained therein.

PLEASE READ THIS BEFORE REGISTERING

In addition to the above terms and the more detailed terms explained below, the following conditions apply:

– I confirm that I am over 18 years old and there are no restrictions preventing me from using the website, participating in the CAROU token sale, or engaging in cryptocurrency transactions under applicable law.
– I confirm that I have never been involved in illegal activities, including but not limited to money laundering or terrorist financing, and that I will not use the website for illegal activities.
– I confirm that I solely control the address and/or cryptocurrency exchange used to contribute to the token sale, that I am not acting on behalf of third parties, and that I will not transfer control over the aforementioned address to third parties before receiving the CAROU tokens.
– I confirm that I accept full responsibility for complying with all local laws, regulations, and rules that may apply to me.
– I confirm that I have read, understood, accepted, and agreed to the whitepaper, the terms and conditions, and the privacy policy.

Conditions for Participation in the Initial Sale and Use of the Tokens

I.M.C. GmbH – registered with the District Court of Berlin-Charlottenburg under commercial register number HRB 275840 B, located at Schloßstraße 97, 12163 Berlin – is the issuer of the CAROU tokens (hereinafter referred to as “we”).
You (“you” or the “user”) are a natural or legal person using the CAROU token.

https://car-roulette.com is the official website for the sale of the CAROU tokens.

NOW, in consideration of all the above and the mutual agreements contained in this document, the parties agree and conclude the following agreement (the “Agreement”):

1. Definitions

1.1. Account: Online account created by the user on the website.

1.2. Blockchain: Distributed ledger consisting of immutable data digitally organized into units called blocks.

1.3. "CAROU": Virtual currency tokens created by the company, called CarRoulette Token.

1.4. Cryptocurrency: A digital asset used as a medium of exchange, secured by cryptography to ensure transactions and control the creation of additional currency units.

1.5. Binance: A public blockchain platform on the BNB Smart Chain (BSC).

1.6. ICO: An initial offering – limited coin sale.

1.7. Services: All services offered by I.M.C. GmbH c/o CarRoulette, including services available to registered users on the website.

1.8. Smart Contract: The intelligent contract on the Ethereum platform.

1.9. Wallet: Any type of wallet used to store cryptocurrencies.

1.10. Whitepaper: The document on the website containing the terms and information regarding the launch of "CAROU" and describing the project and services offered.

1.11. I.M.C. GmbH Team: Persons working with I.M.C. GmbH c/o CarRoulette.

2. Scope of the Agreement

2.1. This agreement sets the conditions for participating in the initial sale as well as the use of the "CAROU" tokens.

3. Acceptance and Contract Changes

3.1. Your access to the website and/or use of any service is subject exclusively to this agreement.
By registering and using the website or purchasing the tokens, you agree to be bound by this agreement, its terms, and all policies contained therein (e.g., privacy policy, AML/KYC policy).
If you do not agree with this agreement or individual provisions, you may not use the website and must immediately discontinue use of it and the services.
We recommend that you save or print a copy of the agreement (including all policies) for your records.

3.2. This agreement becomes effective upon your registration, the purchase of tokens, or further use of the website or services after initial access.

3.3. I.M.C. GmbH c/o CarRoulette may, at its sole discretion and without prior notice, amend, supplement, or delete the terms contained in this agreement or policies.
Such changes take effect upon publication on the website. You are solely responsible for regularly checking for such changes.
Your continued use of the website and/or services after publication of such changes constitutes your acceptance of the changes.
If you do not agree with the changes, you must stop using the website and/or services.

3.4. I.M.C. GmbH c/o CarRoulette may, at any time (temporarily or permanently), make changes or deletions to the website, services, or your account information without stating reasons.
You acknowledge that I.M.C. GmbH c/o CarRoulette assumes no liability for this.

3.5. "CAROU" is an unregulated utility token.
Should legal regulations related to "CAROU" or virtual currencies come into effect, the terms of this agreement or the use of "CAROU" may change significantly to comply with regulatory requirements.

4. Your Account

4.1. If you wish to use the website and/or services, you must register on the website.
Once you agree to the terms of this agreement and complete the registration form, I.M.C. GmbH c/o CarRoulette will create an account for you and provide you with a unique login ID and password.
I.M.C. GmbH c/o CarRoulette reserves the right to deny registration without stating reasons.

4.2. You may be required to provide a copy of your passport or ID, a bank statement, a credit card statement, a utility bill, or other documents requested by I.M.C. GmbH c/o CarRoulette for identity verification.
The required documents will be specified in the notification to you. I.M.C. GmbH c/o CarRoulette may also request additional documents to conduct background checks or verify your information.

4.3. I.M.C. GmbH c/o CarRoulette reserves the right to suspend use of the account until your identity is fully verified.

4.4. You are solely responsible for the confidentiality of your account details, including login credentials and password, as well as their use.
You are required to choose a secure password, change it regularly, and end your session after use.
Sharing your password with third parties constitutes a breach of this agreement.
I.M.C. GmbH c/o CarRoulette assumes no liability for losses resulting from improper security practices on your part.

4.5. You confirm that you provided accurate information during registration.
If you change or update your account details, you also agree to provide accurate information.
You are solely responsible for losses resulting from false or invalid data.
You further warrant that all provided information:
(i) is accurate, current, and not misleading and
(ii) does not infringe the rights of third parties, especially intellectual property rights.

4.6. You may not use the website and/or services for illegal purposes or in a manner that violates this agreement or applicable law.
By registering, you declare that you will act honestly and responsibly in line with I.M.C. GmbH c/o CarRoulette’s intent.
I.M.C. GmbH c/o CarRoulette reserves the right to restrict access to the website and/or services without prior notice in the event of a violation of these provisions.

5. Conditions for Participation

5.1. Before taking any action related to participating in the initial token sale, you should read and understand:
(1) this agreement and all references therein,
(2) the whitepaper and other information published on the website by I.M.C. GmbH c/o CarRoulette,
(3) the terms outlined in this agreement,
(4) the website content, and
(5) all other relevant documents and information published by I.M.C. GmbH c/o CarRoulette.
These documents are integral parts of this agreement.
You waive the purchase of a "CAROU" token until you have fully read, understood, and accepted the above-mentioned documents.
By participating in the initial token sale, you expressly acknowledge that you have carefully reviewed the above terms, understand the associated risks, costs, and opportunities, and agree to be bound by these terms.

5.2. You must meet certain participation requirements stated on the website to participate in the initial token sale. Participation is only permitted during the period specified on the website and in the manner described there.

5.3. In addition to the participation conditions stated on the website, you must declare, confirm, and acknowledge that:
(a) You are at least 18 years old and legally competent according to the laws of your country of residence,
(b) You are legally permitted to participate in the token sale and to receive and hold cryptocurrencies and tokens lawfully,
(c) Your participation is voluntary and based on your own independent decision – without coercion, deception, or solicitation by third parties,
(d) You have sufficient knowledge of cryptocurrencies, cryptographic tokens, cryptographic protocols, and blockchain technologies,
(e) You do not intend to use "CAROU" for illegal or unethical purposes, especially speculative investments,
(f) You will not use "CAROU" for money laundering or other illegal activities,
(g) You are solely responsible for all risks, restrictions, and consequences associated with the purchase, storage, and use of "CAROU" in accordance with this agreement and applicable law,
(h) You acquire "CAROU" to support the development, testing, implementation, and operation of I.M.C. GmbH c/o CarRoulette's products and services,
(i) The outcomes described in the whitepaper may not be achieved,
(j) "CAROU" may not offer the expected benefits or rewards,
(k) Participation in the token sale and ownership of "CAROU" does not grant ownership rights or decision-making power regarding I.M.C. GmbH c/o CarRoulette,
(l) You will not disrupt, interrupt, disable, or compromise the function of the website, nor commit or attempt any security breaches,
(m) You will not access information for which you have no authorization,
(n) You will promptly provide I.M.C. GmbH c/o CarRoulette with all additional required information,
(o) You will ensure that any content you publish is neither confidential nor copyrighted – unless explicitly stated – and does not violate applicable law,
(p) You are not a citizen, resident, or tax resident of North Korea, Iran, Iraq, or Yemen,
(q) You are not an organization, corporation, or entity based in the United States of America or its territories,
(r) You are acquiring "CAROU" on your own behalf and do not intend to redistribute it,
(s) You are acquiring "CAROU" for the purpose of using I.M.C. GmbH c/o CarRoulette’s services and not for speculation,
(t) You understand the price and liquidity fluctuations of "CAROU" and release I.M.C. GmbH c/o CarRoulette from any liability for losses,
(u) All representations, warranties, and declarations in this clause are true and accurate.

5.4. You are participating in the initial token sale exclusively through the team of I.M.C. GmbH c/o CarRoulette.

5.5. "CAROU" is not offered to citizens, residents, and/or tax residents of North Korea, Iran, Iraq, or Yemen (including all regions of these countries).

5.6. If the acquisition, sale, or use of cryptocurrencies or tokens, including participation in the initial token sale, is not legally permitted in your country or could be considered a securities transaction, you may not participate.
Disregarding local laws may result in the loss of your account and assets.

5.7. I.M.C. GmbH c/o CarRoulette reserves the right to refuse the sale of "CAROU" to individuals who do not meet the requirements specified in this agreement, on the website, or under applicable law.

5.8. You acknowledge and agree that trading in cryptocurrencies and tokens – including "CAROU" – involves risks.
Due to constant price volatility, your asset may gain or lose value.

6. Conditions of the Initial Token Sale

6.1. I.M.C. GmbH c/o CarRoulette is the company that owns the "CAROU" utility and is conducting an initial coin offering. The offering concerns a utility token known as the "CAROU" token. The funds raised by I.M.C. GmbH c/o CarRoulette will be used for the development of the project and further development of the CarRoulette platform.

6.2. After the initial token sale, I.M.C. GmbH c/o CarRoulette will mint the tokens on the Ethereum blockchain, operated by a smart contract and using the ERC20 protocol.

6.3. The initial token sale will be carried out in 7 phases: 4 pre-sale phases and 3 sale phases.

6.4. The number of "CAROU" tokens a user can acquire is not limited.

6.5. The terms of the initial token sale are detailed in the whitepaper and on the website. These are an integral part of this agreement, and you agree to comply with them.
To the extent that the conditions mentioned in this Section 6 conflict with the whitepaper or the website, the provisions of the whitepaper and the website take precedence.

6.6. The issuance of the "CAROU" tokens will take place via the official website of I.M.C. GmbH c/o CarRoulette.
By participating in the initial token sale, you agree to all conditions specified on the website.
Failure to follow the instructions listed there may result in prevention, delay, or restriction of your acquisition of the "CAROU" tokens.

6.7. "CAROU" will be offered exclusively in the designated phases of the initial token sale, as described in this agreement, the whitepaper, and on the website.

6.8. "CAROU" will be available in the I.M.C. GmbH-owned wallet.
I.M.C. GmbH c/o CarRoulette reserves the right to decide, at its own discretion, whether the storage of "CAROU" will be transferred to another wallet.

7. Rights and Characteristics of CAROU

7.1. "CAROU" is not an investment asset. The initial token sale does not constitute the issuance of a fiduciary currency, securities (such as stocks or bonds), derivative financial instruments, or any other type of investment certificate.
"CAROU" is non-redeemable, not linked to financial performance, not backed by underlying assets or redemption obligations, and does not necessarily have a market price or a peer-to-peer exchange value.
"CAROU" does not represent an investment contract. I.M.C. GmbH c/o CarRoulette does not intend to offer securities, investment contracts, or other financial instruments that may be classified as such under applicable law.

7.2. "CAROU" are cryptographic tokens that provide access to products and services associated with I.M.C. GmbH. However, their usage or future value may be zero.

7.3. You may not expect profits from holding "CAROU" and have no entitlement to the future success of the company or to services from I.M.C. GmbH c/o CarRoulette or third parties.
The value of "CAROU" depends on your active use and promotion of the platform.

7.4. "CAROU" is not a share in I.M.C. GmbH c/o CarRoulette. The token does not grant ownership rights, profit participation, tax rights, or voting rights.

7.5. "CAROU" grants no intellectual property rights in relation to I.M.C. GmbH c/o CarRoulette or its products and services.

7.6. I.M.C. GmbH c/o CarRoulette may, at its own discretion, make decisions regarding the use, cost, and investment of the funds received during the initial token sale.

7.7. I.M.C. GmbH c/o CarRoulette is not obligated to consult with you or inform you about decisions, developments, or actions.
You have no influence on the management or development of the company.

7.8. Holders of "CAROU" have no right to request an audit or investigation of I.M.C. GmbH c/o CarRoulette’s business operations.

7.9. "CAROU" can be used for payments and other transactions related to cryptocurrencies.

7.10. I.M.C. GmbH c/o CarRoulette is not obligated to refund "CAROU" tokens under any circumstances.

8. Refunds

8.1. No refunds will be granted for the purchase and use of "CAROU" – regardless of the reason.
This also applies in particular in the event of token loss due to technical errors, wallet issues, transaction mistakes, or similar circumstances.
All "CAROU" tokens are sold without warranty.

8.2. By participating in the initial token sale, you confirm that you have read and understood our refund policy and that all purchases are final and non-refundable.
I.M.C. GmbH c/o CarRoulette is under no circumstances obligated to grant a refund or provide financial compensation.

9. Taxes

9.1. You agree that you are solely responsible for determining the amount of any taxes you may owe in connection with this agreement, the initial token sale, the ownership, and use of "CAROU".
Likewise, you are solely responsible for collecting, reporting, and paying any applicable taxes.
You are obligated to declare all taxes, fees, and duties that may arise under the laws of your jurisdiction as a result of receiving, owning, using, purchasing, storing, or trading "CAROU" – regardless of whether you acquired the tokens through the initial token sale.
You expressly acknowledge that I.M.C. GmbH c/o CarRoulette assumes no responsibility for collecting, reporting, or paying taxes related to this agreement, the token sale, or the use of "CAROU".

9.2. You are solely liable for any fines, claims, penalties, taxes, or other charges resulting from your non-payment, incorrect payment, or late payment.
I.M.C. GmbH c/o CarRoulette does not provide tax advice and assumes no responsibility for tax consequences arising from your participation in the token sale.

10. Risks

10.1. Before deciding to participate in the initial token sale, you must fully read, understand, and consider the risks described below as well as all information in this agreement, the whitepaper, the website, or elsewhere.
By participating in the token sale, you declare that you accept all risks described in this section.

10.2. The price of "CAROU" may be subject to extreme fluctuations.
Cryptographic tokens and currencies often show significant price changes within short time periods.
You must be willing to accept considerable value fluctuations of "CAROU", as these are determined by market forces – particularly supply and demand.
I.M.C. GmbH c/o CarRoulette does not guarantee market liquidity for "CAROU".
Additionally, liquidity may vary significantly across jurisdictions due to regulatory differences.

10.3. Even though some cryptocurrencies have been relatively stable in the past, their values may decline significantly in the future.
Such a decline could deprive I.M.C. GmbH c/o CarRoulette of the necessary resources to continue the project.

10.4. Cryptocurrencies are subject to regulatory scrutiny in many countries.
I.M.C. GmbH c/o CarRoulette may receive warnings, orders, or restrictions from regulatory authorities or be required to cease its activities.
This could significantly impair or even terminate the operation or further development of the CarRoulette platform.

10.5. Advances in cryptography or quantum computing could compromise the security of "CAROU".
This could lead to loss, theft, or devaluation.
Since such technological developments are unpredictable, I.M.C. GmbH c/o CarRoulette cannot guarantee long-term security.

10.6. The CarRoulette platform software may contain bugs or vulnerabilities that impair access to information or limit functionality.
Such failure can negatively affect the usability and value of "CAROU".

10.7. Ethereum and Binance are open-source projects not controlled by I.M.C. GmbH c/o CarRoulette.
Anyone can make changes to the source code.
Such changes may cause forks (blockchain splits), leading to duplicate networks and potential confusion.
This can negatively affect the market value and sustainability of "CAROU".

10.8. Changes to the Ethereum source code or the I.M.C. software may have unexpected or undesirable effects that negatively impact the functionality or market value of "CAROU".

10.9. Blockchain technology is based on open-source code.
Regardless of efforts to ensure security, vulnerabilities may be introduced into the infrastructure – intentionally or unintentionally.
This may result in the loss of your "CAROU" tokens.

10.10. The loss or destruction of a private key required to access your "CAROU" wallet is usually irreversible.
You are solely responsible for securing your private keys.
Neither I.M.C. GmbH c/o CarRoulette nor third parties have access to your tokens without this key.

10.11. "CAROU" is not a legally recognized currency and is not issued by a central bank or authority.
Its market value depends solely on user acceptance.
No one is obligated to accept or exchange "CAROU", and there is no guarantee of liquidity or market price.

10.12. It is possible that "CAROU" or the products and services of I.M.C. GmbH c/o CarRoulette may not receive the expected usage or market acceptance.
Lack of interest may severely affect the company’s development or success.

10.13. The company may develop differently than expected.
I.M.C. GmbH c/o CarRoulette is in development and may undergo substantial changes.
Design and functionality of the tokens or platform may differ from your expectations.

10.14. Hackers or other groups may attempt to steal "CAROU" or disrupt the platform’s operation.

10.15. This agreement, the whitepaper, or the website may contain forward-looking statements based on assumptions.
Such statements are subject to significant risks and uncertainties.
You should not rely unreservedly on these statements, as actual events may differ significantly.
I.M.C. GmbH c/o CarRoulette does not guarantee the accuracy of these statements and is not obligated to update them.

10.16. The internet industry is subject to rapid change and intense competition.
New market participants with greater resources may put pressure on I.M.C. GmbH c/o CarRoulette.
Lack of public acceptance or competitive advantage may jeopardize the business model.

10.17. You acknowledge that I.M.C. GmbH c/o CarRoulette is not liable under any circumstances for losses resulting from your participation in the token sale or the use of "CAROU".
You release I.M.C. GmbH c/o CarRoulette from all liability claims.

11. AML Policy / KYC

11.1. I.M.C. GmbH c/o CarRoulette reserves the right to conduct identity verification procedures ("Know Your Customer", KYC) and other due diligence checks at any time (including after the completion of the initial token sale).
If I.M.C. GmbH c/o CarRoulette determines that your acquisition of "CAROU" violates this agreement, anti-money laundering (AML) laws, counter-terrorism financing laws, or other regulatory provisions, the acquisition is retroactively invalid.
In such a case, I.M.C. GmbH c/o CarRoulette is entitled to immediately terminate the contract or permanently deny you the use of services.

11.2. You may be required to provide personal data such as name, address, telephone number, email address, date of birth, and identification documents (e.g., passport, registration certificate) to I.M.C. GmbH c/o CarRoulette.
Additionally, the company may request that you answer further questions or take actions to confirm your identity or meet legal requirements.
By submitting this data, you confirm that all details are accurate and authentic and agree to update them in case of changes.
You expressly authorize I.M.C. GmbH c/o CarRoulette to carry out all necessary checks to verify your identity and/or your account information.

11.3. The use of "CAROU" is subject to international export control regulations and economic sanctions.
By purchasing "CAROU", you declare and guarantee that you are not listed on any sanctions list and that the acquisition and use of "CAROU" does not involve any sanctioned persons or organizations.

11.4. Please read and accept our AML / KYC Policy.

12. Prohibited Activities

12.1. You are prohibited from violating laws, regulations, or official directives applicable in the European Union, in Spain, or in your country of residence.

12.2. You may not use your "CAROU" tokens to engage in the following prohibited activities and confirm that you will not commit any of the following acts:

12.2.1. Participation in transactions related to illegal activities;

12.2.2. Fraud or attempted fraud against I.M.C. GmbH c/o CarRoulette;

12.2.3. Providing false, inaccurate, or misleading information;

12.2.4. Infringement of intellectual property rights, patents, trademarks, or other proprietary rights of I.M.C. GmbH c/o CarRoulette or third parties;

12.2.5. Performing acts that place an unreasonably high load on the infrastructure of I.M.C. GmbH c/o CarRoulette or disrupt, intercept, or damage systems, data, or information;

12.2.6. Uploading or distributing materials via the website that contain viruses, trojans, worms, malware, or other harmful programs;

12.2.7. Attempting to gain unauthorized access to the website, computer systems, or networks, particularly by spying on passwords or other unauthorized methods.

12.3. I.M.C. GmbH c/o CarRoulette reserves the right at any time to monitor, store, review, and disclose content if necessary to fulfill legal obligations, court orders, or regulatory requirements.
Furthermore, the company reserves the right to suspend or delete your account without prior notice if, at its own discretion, it determines that your account is associated with prohibited use or illegal activity.

13. Liability and Indemnification

13.1. You are responsible for all actions taken in the course of your participation in the initial token sale and the use of the website and "CAROU" tokens.

13.2. You acknowledge that participation in the initial token sale, the acquisition of "CAROU", and its use involves risks.
I.M.C. GmbH c/o CarRoulette assumes no responsibility for resulting profits or losses.

13.3. By participating in the initial token sale and receiving and holding "CAROU", you expressly agree, to the extent permitted by law, that I.M.C. GmbH c/o CarRoulette, including all managers, employees, and advisors, shall not be liable for any losses – including but not limited to indirect, special, incidental, or consequential damages.

13.4. You understand and agree that I.M.C. GmbH c/o CarRoulette provides no guarantee for the future value of "CAROU".
There is no obligation that "CAROU" can be sold or transferred during or after the token sale.

13.5. "CAROU" is provided "as is" and without any warranties – express or implied.
You assume full responsibility and risk related to the acquisition, use, and storage of "CAROU".

13.6. The services offered by I.M.C. GmbH c/o CarRoulette are provided "as available".
All express or implied warranties, including suitability for a particular purpose or error-free functionality, are expressly excluded.
Uninterrupted, error-free, or secure access to the services cannot be guaranteed.

13.7. (void – marked as "struck out".)
